By accessing or using Co-Founder: Strategy Layer Engine (the "Service") — whether through an MCP client (Claude, ChatGPT, Cursor, Codex, VS Code, etc.), an API call, or our marketing site — you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Service.
1. The Service
Co-Founder: Strategy Layer Engine is a remote MCP (Model Context Protocol) server that runs MBB-style strategic-consulting engagements. It exposes:
8 bundled engagements (Career DNA, Personal Strategy, Personal Strategy Deep, Strategy Audit, Go-to-Market, Due Diligence, Daily Loop, etc.);
138 atomic tools organised into the S.L.A.T.E. catalogue (Stakes / Landscape / Angle / Trade-offs / Execution);
6 utility endpoints for run management.
Advisory only. The Service produces text artefacts (markdown reports, structured data, suggested actions) intended to inform — not replace — your own judgement. Outputs are not legal, financial, medical, tax, or investment advice.
2. Eligibility
You may use the Service only if:
You are at least 16 years old (or the age of majority in your jurisdiction, whichever is higher);
You have authority to bind yourself and (if applicable) the legal entity you represent;
Your use of the Service does not violate any law that applies to you;
You are not located in a jurisdiction under TODO sanctions list, and not on any sanctions list.
We may suspend access if any of the above ceases to be true.
3. Account registration
Sign-up methods:
Email + password — Resend sends a verification email; you must confirm before using paid tiers.
"Continue with Google" — Google OAuth provides your email and a stable identifier; we create an account on first login.
You are responsible for:
Keeping your credentials confidential;
Not sharing your account with others;
Notifying security@xataco.com immediately if you suspect unauthorised access.
We may suspend or terminate an account that violates these Terms or that has been compromised.
4. Acceptable use
You agree NOT to:
Use the Service to violate any applicable law, regulation, or third-party right;
Submit content that is unlawful, defamatory, infringing, or that you do not have the right to submit (including confidential company information you are not authorised to share);
Attempt to bypass rate limits, OAuth flows, or other access controls (including by registering multiple accounts to circumvent the free tier);
Reverse-engineer, scrape, or copy the Service except as permitted by law;
Use the Service to develop a competing product;
Use the Service to generate or distribute spam, harassment, or harmful content;
Use the Service to make automated high-stakes decisions about a person (employment, credit, immigration, health, etc.) without human review;
Submit personal data of third parties unless you have a lawful basis to do so.
5. Your content; our content
5.1 Your inputs
You retain ownership of all content you submit through tool calls ("Your Content"). You grant us a worldwide, non-exclusive, royalty-free licence to process Your Content solely to deliver the Service and as described in our Privacy Policy. We do not train any model on Your Content.
5.2 Outputs
The text, markdown reports, and structured artefacts produced by the Service ("Outputs") are licensed to you for any lawful purpose. You may publish, distribute, or modify them. Outputs are LLM-generated; we make no representation that they are unique, original, or non-infringing — verify before public use.
5.3 Our intellectual property
The Service code, methodology, agent prompts, S.L.A.T.E. catalogue structure, brand, and the contents of our marketing site are owned by us or our licensors. These Terms grant you no rights to that material except the right to use the Service in accordance with these Terms.
6. Pricing, tiers, and billing
The Service offers four pricing tiers:

Free preview phase. Tier gating is currently relaxed and every authenticated client may call every endpoint subject to rate limits. We will give 30 days' advance notice in this document before tier gating is enforced and billing begins.
When billing launches: pricing, cancellation, and refund policies will be published on a dedicated pricing page and incorporated into these Terms by reference. TODO: replace with concrete billing terms when Stripe is wired up.
7. Service availability
We aim for high availability but make no uptime guarantees during the free-preview phase. We may modify, suspend, or discontinue any part of the Service with reasonable notice. We may impose rate limits, queue requests, or refuse a tool call if we reasonably believe it would harm the Service or other users.
8. AI output disclaimer
The Service produces LLM-generated analysis. Outputs may contain factual errors, outdated information, or fabricated citations (hallucinations) despite the in-built fact-checking layer.
You acknowledge and agree that:
Outputs are advisory only and must be independently verified before being acted upon, especially for decisions with financial, legal, medical, or material professional consequences;
You are solely responsible for any decision made on the basis of Outputs;
We are not your consultant, lawyer, accountant, doctor, or financial advisor, and no engagement with the Service creates such a relationship.
9. Third-party services and sub-processors
The Service depends on third-party providers (Anthropic, Google Cloud, Resend, Notion, Google Identity). Their availability and terms affect the Service. The current list and our handling of personal data are described in our Privacy Policy.
You agree that if a sub-processor goes down, modifies its API, or revokes our access, the affected part of the Service may be temporarily or permanently unavailable.
10. Disclaimer of warranties
To the maximum extent permitted by law, the Service is provided "AS IS" and "AS AVAILABLE" without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or freedom from errors. Some jurisdictions do not allow exclusion of certain warranties — in those, this section applies to the extent permitted.
11. Limitation of liability
To the maximum extent permitted by law:
We are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, or lost business opportunities;
Our total aggregate liability arising out of or relating to the Service in any 12-month period is limited to the greater of (a) the amount you paid us for the Service in that period, or (b) TODO USD 50 / EUR 50;
Nothing in these Terms excludes or limits liability that cannot be excluded or limited by applicable law (e.g. fraud, death or personal injury caused by negligence, statutory consumer rights).
12. Indemnification
You agree to indemnify and hold us harmless from any claim, loss, or expense (including reasonable legal fees) arising out of:
Your breach of these Terms;
Your misuse of the Service;
Your violation of any third-party right (including IP, privacy, or contract).
13. Termination
You may stop using the Service at any time. Account deletion is available via support@xataco.com and triggers the data deletion described in the Privacy Policy.
We may suspend or terminate your access:
For breach of these Terms;
For security or legal reasons;
After 30 days' notice if we sunset the Service or your tier;
Immediately and without notice if your use causes harm to the Service or other users.
Sections that by their nature should survive termination (IP, disclaimers, liability, indemnification, governing law) survive.
14. Changes to these Terms
We may update these Terms when the Service, its features, or applicable law changes. The "Last updated" date at the top reflects the most recent revision.
For material changes (new restrictions on use, new fees, reduction in user rights), we will:
Give at least 30 days' notice via in-app banner and email to your registered address;
Allow you to terminate the account before the changes take effect if you do not agree.
Continued use after the effective date constitutes acceptance.
15. Governing law and dispute resolution
These Terms are governed by the laws of TODO jurisdiction, without regard to conflict-of-law principles.
We will first try to resolve any dispute by good-faith negotiation. If that fails:
Consumer users in the EU/UK: you may bring proceedings in the courts of your country of residence, and you retain all statutory consumer rights;
All other users: exclusive jurisdiction lies with the courts of TODO jurisdiction.
Nothing in this section limits your right to lodge a complaint with a competent supervisory authority for data-protection matters.
16. Miscellaneous
Entire agreement — these Terms, plus the Privacy Policy and any pricing page referenced, form the entire agreement between you and us regarding the Service.
Severability — if any clause is held unenforceable, the rest remains in effect.
No waiver — failure to enforce a clause is not a waiver.
Assignment — you may not assign these Terms without our written consent; we may assign them in connection with a merger or acquisition.
Force majeure — neither party is liable for delays caused by events beyond reasonable control.
